These Terms of Service (“Terms”) govern your access to and use of the Neroles website, Tareo application, and related services (collectively, the “Services”) provided by Neroles Technologies (“Neroles”, “we”, “us”, or “our”).

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

2. Description of Services

Neroles provides work orchestration tools, including Tareo, an async-first workspace designed to preserve context across tasks, clients, and conversations. Our Services include:

• Task and workflow management
• Team collaboration features
• Communication integrations (Slack, email)
• AI-assisted task processing
• Reporting and analytics

3. Account Registration

To use certain features of our Services, you must register for an account. When you register:

• You must provide accurate and complete information
• You are responsible for maintaining the security of your account credentials
• You must notify us immediately of any unauthorized access to your account
• You are responsible for all activities that occur under your account

You must be at least 16 years old to create an account and use our Services.

4. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable laws
• Upload or transmit viruses, malware, or other harmful code
• Attempt to gain unauthorized access to our systems or other users' accounts

You are solely responsible for Your Content and must ensure you have all necessary rights to share it through our Services. We do not endorse or assume any responsibility for Your Content.

The Services, including all content, features, and functionality, are owned by Neroles and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Services without our prior written consent.

7. Subscription and Payment

7.1 Free and Paid Plans

We offer both free and paid subscription plans. The features available to you depend on your subscription plan. Free plans may have limitations on users, features, or usage.

7.2 Billing

For paid plans, you agree to pay all fees according to the billing terms in effect at the time. Fees are non-refundable except as required by law or as explicitly stated in these Terms.

7.3 Cancellation

You may cancel your subscription at any time. Your access to paid features will continue until the end of your current billing period.

8. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Services will cease immediately. You may export your data before termination; we will retain your data for 30 days after termination to allow for data export.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEROLES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Neroles and its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses arising from your use of the Services or violation of these Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Neroles is established, without regard to its conflict of law provisions.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the “Last updated” date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.
